Fourth Delegate Synod of Missouri, Ohio, and Other States. 1884. 59
Resolved, that the petition of the bookselling firm "Henkel and
Co.," proposing that our Synod enter into an arrangement with it
regarding the publication of the Book of Concord in English (3rd
edition), be referred to the Board with instructions that it act in
this matter, together with the theological faculty at St. Louis,
according to its best judgment.
Resolved, that the following revised regulations shall govern the
Board and the General Agent:
I. For the Board:
1. A Board of seven persons is elected for a three-year term at
each regular meeting of the General Synod, in such a way that two of
the Board's members are chosen from the teaching estate [i.e.,
parochial-school teachers, as distinct from pastors]. The General
Synod's current treasurer shall also serve as an advisory member of
the Board.
2. The Board's duties are, in general: to administer, in the name
of the Synod and solely for its benefit, and answerable and liable to
it in all things, the Synod's typesetting shop, printing house, and
bindery, together with everything belonging to them, and to oversee
the General Agency. It shall also fix the salaries of the employees
in the bookstore, except that of the General Agent, as well as those
of the foremen in the typesetting shop and bindery.
3. The Board shall elect from its own number a president and a
secretary.
4. Vacancies arising among the members of the Board shall, until
the next election by the General Synod, be filled by the Board itself,
in agreement with the General President, through the election of
suitable persons. — No person may be elected to the Board who is in a
business relationship with the book-publishing house.
5. The Board shall hold a regular meeting at least once a month,
in order to inform itself of the state of the matters entrusted to it
and to take counsel and pass resolutions on whatever may serve to
advance them. The General Agent shall be present at these regular
meetings of the Board. — The president has the right to call special
meetings as often as a majority requires it. All such meetings have a
quorum when a majority of the members are present.
6. The Board and all its members, as employees of the Synod
under Chapter VI of the Synodical Constitution, are subject to the
Synod in the same way as all other synodical officers.
7. The Board has the sole authority to determine which writings
shall be printed and distributed, insofar as the General Synod has
not already decided the matter itself. It is required to turn over
