presides. In his absence, the assembly shall appoint an
acting chairman pro tempore.

b. a secretary, who, when present, shall keep the minutes at the
meetings of the Board and of the Society, take custody of
the archive, conduct the Society's correspondence,
and provide an annual report on the Society's activity;

c. a business manager residing at the place of printing, who shall receive
the Society's funds and disburse them according to the written direction of
a majority of the Board, keep exact accounts of this,
oversee the print shop, arrange the dispatch of the publications,
likewise keep exact accounts of this, and furnish the Board's
secretary with a quarterly report, and the Society itself with an annual
report, on the state of the treasury, the print shop, etc.
The business manager must post a bond, to be determined by the
Publishing Board according to circumstances, for the sufficiency of
which the members of the Publishing Board themselves are answerable with their
real and personal property.

§ 13. The Publishing Board shall hold a regular meeting each year at the
time and place of the general meeting, but may also, in urgent
emergencies, convene extraordinarily at any time on the initiative of
the chairman.

§ 14. Should a vacancy arise at any time in the Publishing Board
or among its officers, it shall be filled by a member of the Society to be
designated by the Board.

§ 15. Apart from the business manager mentioned under § 12.c, whose salary
is to be set by the Publishing Board, no officer shall receive compensation.

§ 16. In all votes, except the case mentioned in § 11, a
majority decides, and ownership of each share entitles its holder to cast
one vote, insofar as the owner of such a share is a member of the Society.
Absent members may be represented by a member of the Society,
which must, however, be shown in writing. In the event of a tie,
the chairman decides.

§ 17. Amendments to this constitution, or additions to it, may
be made only at a regular annual meeting of the Society, with the
consent of the holders of at least two-thirds of all shares,
on the express condition that the purpose set forth in § 1, the
conditions of membership set out in § 2, the provisions made in
§ 11, and this § 17 itself remain unchanged.

Grabau's Pastoral Letter.

On the motion of several Synod members that the Synod render an
opinion on a work recently published by several pastors in Missouri
containing Grabau's pastoral letter along with other writings relating
to it, a committee was appointed to examine that work provisionally
and report on it to the Synod. This committee later
presented its report to the Synod for further deliberation, noting
that, given the length of the work, lack of time had made it
impossible to deliver a complete report, and therefore recommended to
the Synod that the work be gone through jointly at the pastoral
conferences still to be held.
