pass to a third person, but shall make that person a member of the
Society only when the conditions named under § 2 apply.
Those who, upon purchasing one or more shares, are indeed entitled to
membership under § 2, but who later leave the Synod's fellowship, or
cease to be members of a congregation belonging to the Synod or served
by a Synod minister, thereby also cease — without prejudice to the validity
of their shares — to be members of the Society at the same time.

§ 4. The capital needed to achieve the Society's purpose
shall be raised through the sale of shares, each at 5 dollars. As
soon as 140 shares have been placed, the Society's
operations shall begin.

§ 5. The shares shall be redeemed by the Society in installments, through
delivery of works published by it.

§ 6. Should a considerable surplus be found after the redemption of
all shares and payment of all the Society's liabilities, then, by
decision of the regular annual general meeting, the holder of
each share shall be awarded a bonus, payable in printed matter.

§ 7. After the redemption of all shares and payment of all debts, and
the respective distribution of bonuses, the Society's assets shall become
the property of the Evangelical Lutheran Synod of Missouri, etc., on the condition
that the Synod:

a. transfer to the Society, for as long as it exists, the printing of its
Synod proceedings and other printing work, with the exception of
the *Lutheraner*, at the usual prices;
b. upon taking over the assets, at all times pursue the purpose
set forth in § 1.

§ 8. Three-fifths of the amount of each share shall be paid at once, the
remainder within five months.

§ 9. The Society shall meet annually at the time and place
of the Synod's convention, and shall elect, for three-year terms, a
Publishing Board consisting of eight members of the Society, of whom at
least four must belong to the teaching office [the clergy].

§ 10. It is the duty of the Publishing Board:
a. to safeguard the Society's overall rights;
b. to arrange for the purchase of a print shop, etc., as soon as 800 dollars
are available in the treasury for that purpose;
c. to oversee the Society's business;
d. to arrange the selection of works to be printed, proofreading, etc.;
e. after receiving the report of the business manager, to fix the prices of
the works it publishes, whereby the Board must always keep in view
the Society's purpose of distributing orthodox writings at the
lowest possible prices.

§ 11. Once the Publishing Board has agreed on the printing of a work, it
shall announce the intended publication in the *Lutheraner*.
Every member has the right to lodge a protest against the printing of such
a work with the Society's secretary within two months of the
appearance of the relevant announcement; should half the members of the
Society so protest, the work shall not be published.

§ 12. The Publishing Board shall elect from among its own members, for
three-year terms:
a. a chairman, who shall preside both at the meetings of the
Board and at the Society's annual general meeting,
