of four votes) in the election of a professor or president;
and

Wuereas, The president of the institution must now
approve each candidate placed on the ballot for profes-
sor; and

Wuereas, The faculty committee must now approve
each candidate placed on the ballot for president of the
institution; and

Wuereas, The president or the faculty committee
may thus exercise veto power over the combined wishes
of the Board of Control of the institution, the Board for
Higher Education, and the President of both District
and the Synod by rejecting any candidate; therefore
be it

Resolved, That the method of electing the president
and professors of synodical institutions be revised in
order that the will of the Board of Control, the Board
for Higher Education, and the Presidents of District and
the Synod may be fully expressed and exercised in all
elections: and be it further

Resolved, That paragraph 6.111 of the Bylaws be
amended by adding the words:

The president shall further prepare a slate from the list of
candidates. This slate shall become the election ballot sub-
ject to approval by the Board of Control and to amendment
by the Board of Electors.

and be it finally
Resolved, That Paragraph 6.117 of the Bylaws be
amended to read:

The election shall be held on the day designated in the notice
published in the official publications of the Synod or as soon
thereafter as feasible. Due consideration shall be given to
recommendations and statements of qualifications submitted
on behalf of all nominees or of objections to any. The Board
of Control may be requested by the electors to postpone the
election or to issue a new call for candidates as conditions
may indicate. All elections shall be conducted with due re-
gard for the welfare of other institutions and agencies of
the Synod.

To Give Electors All Nominees
for Elections, Without Deletion

Whereas, The selecting of presidents and teaching
personnel at our synodical institutions carries vital im-
port and effect for the congregations of the Synod; and

Wuereas, The Synod has established the policy of
four votes of its electors for election to such positions.
whose combined judgment and consideration is required:
and

Wuereas, Under Bylaw 6.117, “Elections,” the list of
candidates to be considered has already been called for
under procedures outlined in Bylaws 6.101 to 6.113: and

Whereas, According to the present Bylaw 6.117, the
president individually can exercise veto power over a
candidate, which judgment should be left to all of the
electors, including the president, on the basis of valid
consideration according to Bylaw 6.109; therefore be it

Resolved, That in Bylaw 6.117 the phrase “by the
president or as amended by him after mutual consent
with the electors, as the case may be,” be deleted so
that the Bylaw reads:

6.117 Elections

The election shall be held on the day designated in the
notice published in the official publications of the Synod or
as soon thereafter as feasible; and after due consideration
of the recommendations and statements of qualifications sub-
mitted on behalf of all nominees, or of objections to any,
there shall be elected from the list of candidates as originally
proposed, the person best qualified for the position to be
filled, or the Board of Control shall be requested by the
electors to postpone the election or to issue a new call for
candidates as conditions may indicate. All elections shall be
conducted with due regard for the welfare of other institu-
tions and agencies of the Synod.

To Reduce Number of Required
Board Meetings

WuereEAS, Current policy (Handbook, 6.33a) pro-
vides that “The Board of Control shall meet at regular
intervals. It shall meet at least five times a year, in-
cluding special meetings”; and

WuerEAs, The wide variation in local conditions and
requirements related to the Synod’s 16 colleges and
seminaries located throughout the United States and
Canada obviously makes it impossible for the general
Synod to predetermine the frequency of board meetings
required for effective control of the different institutions:
and

Wuereas, The travel costs involved in convening
such boards is increasing substantially, particularly be-
cause transfer to locations remote from the college or
the seminary involved does not disqualify a clergyman
or layman from continuing his board membership: and

WuereEas, There is neither economy nor validity in
board meetings which are scheduled because of the
“minimum meetings” requirement, even though in-
sufficient business exist to require the presence of the
plenary board: and

Wuereas, A reduction of the minimum frequency of
board meetings prescribed in the current policy directive
would not deprive any board of the prerogative of meet-
ing as often as may be deemed necessary by the Board
involved: therefore be it

Resolved, That, effective immediately, Boards of
Control shall meet at least three times a year; and be
it further

Resolved, That the Synod’s Commission on Consti-
tutional Matters shall phrase an appropriate statement
reflecting this synodical policy and shall substitute it
for the statement of Section 6.33 a in the current syn-

odical Handbook. Boarp oF CONTROL
