105. It was agreed that another new section be added to the Synodical Hand-~

book as follows:

"2.06 Elective/Appointive Boards and Commissions

"The following boards and commissions or agencies shall be formed in the
manner provided in the respective Bylaw sections pertaining to then:

"A Commission on Theology and Church Relations
The Lutheran Church--ifissouri Synod Foundation
The Concordia Historical Institute’!

106. The Special Committee next took up for consideration the BOARD OF
DIRECTORS section in the Blue Book, October 2, 1963, SPECIAL COMMITTEE. It
was agreed to recommend the following wording for the Board of Director's section

in the Synodical Handbool::

"2.71 iembership

"The Board of Directors shall be constituted as follows: the President, the
Secretary, and the Treasurer of the Synod shall be members of the Board by virtue
of their office. Three pastors, one teacher and seven laymen shall be elected
according to procedures defined in the Bylaws, provided that no two of them shall
come from the same District. No more than one of the three pastors shall be elected
from any one District. No more than one of the seven laymen may be elected from
any one District. No person salaried by the Synod or by its Districts shall be
elected members of the Board. The Vice-Presidents of the Synod shall be advisory
members of the Board.

'2,73 Vacancies

"The Board of Directors shall be authorized to fill any vacancies in its mem-
bership for the unexpired term.

"2.75 Officers

“The Board shall elect its own chairman, vice-chairman, secretary and such
other officers as may be necessary.

"2.77 sathority
“a. The Board of Directors shali be the legal representative of the Synod and
the custodian of the Synod's property. It shall be vested with the general manage-

ment and supervision of the Synod's business affairs.

"b. The Board of Directors shall provide for the coordination of the policies
and directives of the Synod authorized by the constitution, Bylaws and resolutions,
