106. Review of Governing Instruments (Ag. 1616, etc.): Under Bylaw 2.600 both the Board of Directors
and the Commission on Constitutional Matters are to review the governing instruments of the "Other
Synodical Entities" listed in the Handbook: Concordia Historical Institute, Concordia Publishing House,
Lutheran Church Extension Fund--Missouri Synod, Radio Station KFUO, The Lutheran Church-Missouri Synod Foundation, Worker Benefit Plans. All of these entities had submitted their governing
instruments except Radio Station KFUO.
107. Foundation Bylaws (Ag. 1616) : The Commission began the study of the governing instruments of
The Lutheran Church--Missouri Synod Foundation but discovered that a sheet was missing listing the 5th
and 6th Articles. It was therefore decided to table this review until the missing page is supplied.
108. Bylaws of Worker Benefit Plans (Ag. 1620): The Commission concluded that it found nothing
contrary to the Constitution and Bylaws of the Synod in the governing instruments of the Concordia Plans
and the Pension Plan for pastors and teachers.
109. Review of Lutheran Church Extension Fund--Missouri Synod Articles of Incorporation and Bylaws
(Ag. 1622) : The Commission also found nothing contrary to the Constitution and By-laws in the
governing instruments of the LCEF.
110. Concordia Publishing House Articles of Incorporation and Bylaws (Ag. 1624) : The Commission
reached the following conclusions:
1. Article V is outdated.
2. Bylaw 1.23 must be revised to conform to synodical Bylaw 2.611, c.
3. Bylaw 1.25 must be revised to conform to synodical Bylaw 1.611, e.
4. Attention is called to the fact that there is no provision for amendments; perhaps Missouri law
provides the proper procedures.
111. Concordia Historical Institute (Ag. 1624-2): After reviewing these instruments the Commission
reached the following conclusions:
1. Constitution Article 11, 2 is ambiguous in its use of the pronoun "its." it is suggested that the
wording toward the end of the first long sentence be changed to read: " . . . in accordance
with the provisions of the Synod's corporate Charter and Bylaws."
2. Bylaws Article 1, 1 should be amended to read: "The affairs of the Institute shall be
supervised by a Board of Governors consisting of eleven members. Five members, at least
two of whom shall be on the clergy roster of the Synod, shall be appointed by the President of
The Lutheran Church--Missouri Synod after consultation with the Vice-Presidents; five
members shall be elected by the membership of the Institute at its biennial [?] meeting; the
Secretary of the Synod shall be the eleventh member. The members of the Board shall serve a
maximum of three three-year terms."
3. Article VII, 1, h. This should be reworded to provide that vacancies among those appointed
by the President shall be filled by the President and that vacancies among those elected
(appointed) by the membership of the Institute shall be filled by appointment by the Board of
Governors representing the Institute membership.
