129. Relationship of Districts to Synod: Mr. Fred Kuhlmann and Dr. Walter Wolbrecht appeared before
the Commission to request a ruling on the relationship between Districts and Synod. The Commission
agreed that essentially the District is a creation of the Synod. The Commission resolved (1) to adopt an
opinion on this question as embodied in the statement prepared by Chairman Kuenne and attached to the
minutes, (2) to address a letter to this effect to President Harms with carbon copies to the Executive
Secretary and to Mr. Kuhlmann and (3) to raise with President Harms the question of whether it might not
be well to determine whether this principle contained in the opinion is adequately taken care of in the
articles of incorporation of the various Districts of the Synod.
130. Involvement of Board of Directors: It was also resolved to recommend to the Hoard of Directors that
whenever new Districts are called into being by the Synod it would be advisable for the Board of
Directors to take the initiative in seeing to it that the proper legal relationship between Synod and District
is established, that in fact all legal concerns are adequately safeguarded. It is the Commission's opinion
that the Board of Directors can act on the basis of the new Handbook paragraph 2.77 a.
131. Teacher Member of Board of Directors: Since the Detroit convention resolved that a teacher should
be elected to the Board of Directors, Article V of the Articles of Incorporation which limits membership
to clergy and lay members will need to be changed. The Commission formally resolved to ask Legal
Counsel Kuhlmann to take the necessary steps to change the wording to: "and such additional directors as
shall be elected from time to time..."
132. Constitutional Requirement for Board of Directors: Mr. Kuhlmann agreed with the Commission that
the convention action referred to above does not necessitate a change in Article XI, F, 1 of the Synod's
Constitution.
133. Handbook Reference to Concordia Plans: Mr. Kuhlmann agreed to ascertain in which way the
Concordia Plans could be adequately referred to in the Handbook, perhaps as a responsibility of the
Hoard of Directors. He will also consider what would be the ramifications if the Handbook section on the
Pension Fund would be deleted from the new Handbook which is to be proposed to the New York
convention.
134. CEF Loans for High Schools: Resolution 7-16, that Church Extension Fund monies be made
available to high schools, had been referred to the Commission for implementation. Whereas the
convention had already adopted a new wording for paragraph 8.115, and whereas the original memorial
had addressed itself to a revision of the old paragraph, and whereas the adoption of resolution 7-16 would
involve a fundamental shift in the purpose of the Church Extension Fund, the Commission decided to let
the new wording adopted by the convention for 8.115 stand without addition.
135. Parish Education: Since the Board of Parish Education had expressed a wish that the regulations
proposed in Resolution 7-07 (which had been referred to the Commission for implementation by the
President) might be adopted, the Commission formally resolved to do so and to include it in the
Handbook as new Chapter VII.
