168. 2023 Ov. 9-28, Procedures for Delay of Meetings of the Synod, and 9-29, To Provide Elections
if Conventions Cannot Be Held (23-3022)
The commission reviewed again these overtures, which had been assigned to it by way of an omnibus, for
consideration of appropriate action. The commission discerned no action to recommend at this time.
169. Indiana District Board of Directors Policy Manual, Review (25-3046)
By an email of January 16, 2025, at the request of the commission in its Op. 23-3044, the Secretary of the
Indiana (IN) District forwarded for the commission’s review the district’s Board of Directors Policy
Manual.
In its review, the commission noted:
•
Policy 2.1: While Const. Art. XII 6 and Bylaw 4.5.1 (c) clearly indicate some degree of transference
of Synod-level definitions to the district level (using language like “guided generally by”), the
translation that transference entails is not always straightforward. The commission is concerned,
here, that the district convention cannot delegate away essential functions of the district board of
directors, as suggested by the translation of the Synod-level language in the second sentence. While
districts can have agencies, the “corporate entities” exist only at the Synod level. The last word
presumably should read “District.”
•
Policy 2.2.1.1: Language of “expectation” may be better than language of “responsibility,” as the
policy cannot really mandate responsibilities beyond what controlling bylaws specify; ultimately,
board members would be responsible to the requirements, for example, of Bylaw 1.5.7.
•
Policy 2.3.1.1 and elsewhere: The commission notes Policy Governance style language, with regard
to some aspects of which the commission has warned various districts. The commission forwards
its general comments, from Op. 20-2934, “Missouri District Policy Manual,” on the use of Policy
Governance in districts.
•
Policy 2.4.1.1: The Constitution, Bylaws, and resolutions of the Synod should be present and
clearly controlling here.
•
Policy 2.4.4: It may be better to specify quorum as a fraction of the membership of the board rather
than an absolute number, in case a large number of vacancies might occur at the same time.
•
Policies 2.4.9 and 2.6.2 (d): The district president is not subject to the direction and supervision of
the board with regard to the ecclesiastical supervision duties that occupy most of his given duty.
•
Policy 2.5: The Constitution and Bylaws describe the duty of the board in more specific terms
(Const. Art. XI E 2, XII 6; Bylaw 4.5.1). Here and in Policy 1.3, the expansive language of
“partners” may be open to a variety of understandings, especially given their apparently transient
nature (Policy 2.5.3).
•
Policy 2.6.2 (f): Elsewhere voting members are specified. Is the omission intentional?
•
Policy 2.7.1.2: The district president is the chief executive (Bylaw 4.4.1) and an officer (Bylaw
4.3.1) but not the chief executive officer of the district, with the corporate baggage that language
assumes. The term chief operating officer, even where limited to the duties delegated to him by the
board, suggests a scope and permanence of that assignment that causes the commission concern
about the amount of the district president’s capacity available for his core ecclesiastical supervisory
work.
•
Policy 3.1: It may be well to reference also Const. Art. XII 6 and Bylaw 4.5.1.
