Articles of Incorporation, Art. XI: This article must include wording that recognizes the need for
prior approval of amendments to the articles by the Commission on Constitutional Matters of the
Synod.
Bylaw 1.03, paragraphs d and e: Paragraph e could be eliminated since it is part of the Synod’s
process, or it should precede current paragraph d since suspension precedes expulsion.
Bylaw 1.04, paragraph g: It must be clarified that the power of the board of directors to act is
subject to restrictions provided by the Synod’s Constitution and Bylaws.
Bylaw 2.02, paragraph a: This statement should be given further consideration in light of Synod
Bylaw 1.5.3.4.
Bylaw 2.02, paragraph c: The district president may assign staff to standing committees as ex
officio members only if the district president would otherwise have ex officio membership. This
paragraph needs to clarify whether voting privilege will accompany such ex officio membership.
Bylaw 3.01, paragraph a et al.: Reference here and throughout the document to circuit counselors
will need to be changed to “circuit visitors” as a result of 2013 Synod convention action.
Bylaw 3.04, paragraph c: Synod Bylaw 1.5.7.1 provides a specific process for the removal of
board members. This entire section requires reconsideration to clarify who is to be affected by
which provisions, distinguishing between board members and district officers.
Bylaw 3.07, paragraph c: It will be important to identify who makes the decision whether the
president has become incapacitated and how temporary incapacitation is to be handled.
Bylaw 3.10: The commission recalls previous mention made of Camp Luther, prompted by the
deleted wording in this paragraph. The commission will need to review the camp’s articles of
incorporation and bylaws, even as it will need to review the District Operations Manual
mentioned in Bylaw 3.11, paragraph b.
Bylaw 4.01, paragraph d: Synod Bylaw 4.2.1 (a) requires district conventions to be governed by
the bylaws of the Synod for its conventions. Accordingly, Synod Bylaw 3.1.8 (b) requires that
printed copies of convention workbooks be mailed to delegates and alternates, all officers, and
members of boards, commissions, and councils.
Bylaw 4.02, paragraph b: This paragraph must be brought into line with Synod Constitution Art.
XII 15 which requires consent of “at least a majority of the voting members of the district” for
special meetings of districts.
Bylaw 5.04, paragraph a: In the case of regional vice-president nominations and elections, Synod
bylaws hinge regional candidacy on residence, not congregation membership (Synod Bylaw
3.12.2.7 [a]).
Bylaw 5.04, paragraph b: Synod bylaws do not speak of the casting of lots, but include more
names in the event of a tie (Bylaw 3.12.2.1 (b), et al.) and continue the voting process until there
is an election or decision.

When these changes have been made, the commission requests that the amended documents with changes
clearly identified be re-submitted to the commission for review and approval prior to their consideration
by the 2015 district convention.
30. Review of Changes to the Gemeinnützige Concordia International GmbH Bylaws (14-2706)
The Chief Mission Officer of the Synod, following LCMS Board of Directors action, submitted further
changes to the previously submitted and approved Bylaws of the Gemeinnützige Concordia International
GmbH. After review, the commission approved the changes.
