24. Montana District Articles of Incorporation Review (14-2700)
The commission reviewed and approved the Amended and Restated Articles of Incorporation of the
Montana District as submitted by its district president (January 20, 2014 email). The commission requests

25. Concordia Plan Services Request for Opinion (14-2701) and Bylaw Revisions Review (13-2691)
Concordia Plan Services previously submitted its corporate documents for review by the commission.
Concordia Plan Services responded to the commission’s review, also requesting a formal opinion in
regard to one of the commission’s responses—which was included on the agenda of the current
commission meeting (14-2701) along with the review of further changes to the Concordia Plan Services
Bylaws (13-2691). Prior to the meeting, Concordia Plans Services requested additional time to consider
further bylaw changes. These matters were therefore not addressed at this meeting and will be addressed
by the commission during its June meeting.
26. Not-for-Profit Corporation Law and Annual Meetings (14-2702)
Secretary Raymond Hartwig reported on comments and questions received from districts regarding state
law requirements for annual meetings of not-for-profit corporations, this in light of Synod and district
meetings once every three years because of the Synod’s triennial meetings cycle. The commission will
request input regarding this issue from the Synod’s legal counsel.
27. Missouri District Articles of Incorporation Review (14-2703)
The commission reviewed and approved the Amended and Restated Articles of Incorporation of the
Missouri District as submitted by the district secretary (February 4, 2014 email). The commission
requests a final copy of the document after its adoption by the district convention.
28. Concordia Mequon and Concordia Ann Arbor Documents Review (14-2704)
The commission reviewed documents submitted by the president of Concordia University Wisconsin
supporting the Concordia University Wisconsin/Concordia University Ann Arbor formal merger,
changing the name of the surviving entity to “Concordia University,” and setting up a Board of Overseers
for Michigan as a component of the new Concordia University. Upon review of all documents submitted
via the February 10, 2014 email, the commission approved all documents.
29. North Wisconsin District Articles of Incorporation and Bylaws Review (14-2705)
With a February 10, 2014 email, the president of the North Wisconsin District submitted his district’s
handbook for review by the commission. Upon review, the commission offers the following
recommendations and suggestions.
•
•
Articles of Incorporation, Art. III: The district may want to consider dividing up this paragraph
for the sake of clarity. It will also be necessary to make clear that it is speaking of “congregations
and individual members of the Synod” in the fourth line of the paragraph, and that congregations
are members of the Synod through its districts—not the other way around.
Articles of Incorporation, Art. IV and V: These paragraphs will require reworking to include the
wording required by 2004 Synod Res. 4-11, as provided in the articles of incorporation template
recently developed by the commission for consideration by the districts of the Synod.
