32. Approval of Bylaws Relating to the Board of Directors of the Synod (Ag. 2023) : When forwarding
the proposed bylaws relating to the Board of Directors for inclusion in the 1995 Handbook of the Synod, the
Secretary had forwarded them in a different sequence than had been agreed upon at the previous meeting of
the Commission. It was suggested that the heading for the entire section be D. Synod wide Boards. The
listing of the sections as sequenced in the meeting and as proposed with the addition of the heading and a
separate section for the synodical Board of Directors was as follows:
D. Synod wide Boards
3.181 - Role
3.185 - Officers of the Boards
3.187 - Functions of the Boards
3.189 - Governing Instruments
would remain 3.181
would become 3.183
would become 3.185
would become 3.187
1. Synodical Board of Directors
3.182 - Membership
3.183 - Authority of the Board
3.191 - Powers and Duties with Respect
to the Property of the Synod
3.193 - Capital Fund Borrowing Authority

As sequenced in
the meeting
would become 3.189
would become 3.191
would become 3.193

As proposed with the addition of
D. Synod wide Boards
1. Synodical Board of Directors
It was pointed out that as sequenced in the meeting, bylaws which relate to other boards were intermingled
with those which had direct reference only to the Board of Directors and therefore a different sequencing
would be preferable.
