Minutes of the Commission on Constitutional Matters
July 15,1995
136. : The meeting was called to order at 12:35 p.m. by the chairman. All members were present with the
exception of Dr. Rosin, who absented himself because the subject again was 1992 Resolution 8-01A.
The members began discussion of the document entitled "To Clarify Role of Board of Directors and
Various Corporate and Legal Entities - 1992 Res. 8-01A" which was presented to the Commission by the
Board of Directors in accord with Bylaw 15.01. Discussion took place regarding both sections of the
document entitled "Rationale" and "Recommendation." Because the proposal did not remedy the
fundamental problem of the conflict with Article XI (F) of the Constitution, the members unanimously
concluded that the Commission could not approve the proposal. The chairman was directed to convey this
conclusion to Dr. Rosin so that he could so advise the Board of Directors.
At 1:30 p.m. the meeting adjourned to meet with Dr. A. L. Barry in Room 111 of the Convention Center.
Dr. Barry conveyed his feelings that in view of the Commission's refusal to permanently withdraw its
opinions of March 6 and July 5, the Board of Directors will probably memorialize the convention to
overrule the Commission in accord with Bylaw 3.905, d. He is concerned that such an action would be the
first time the Commission is ever overruled by a convention and that this would open the door in future
years for similar actions regarding other opinions.
At 2:00 p.m. the members again went into session to discuss the concerns of Dr. Barry and explore other
possible solutions to the problems created by the Commission's opinion regarding 1992 Resolution 8-01A.
The Commission adjourned at 3:00 p.m. to allow the chairman to attend the delegate orientation meeting.
Respectfully submitted,
