It was also noted that a letter from legal counsel had accompanied the present request for a ruling which
contained the following:
The Synod in convention apparently has intended in the past that BPS should, as a matter of policy,
produce curriculum materials. Therefore, the decision of where that function is best performed is a
matter that should be decided by the convention. If the Board of Directors recommendation to transfer
the curriculum production function to CPH is adopted by the convention, Bylaw 3.611,e should be
amended to eliminate the current provision requiring CPH to consult with the Board for Parish Services
in publishing curriculum materials.
A meeting is to be called later at which time the Commission will provide an opinion on the question
received.
3. Seminary President Elector (Ag. 1935) : At the 1992 convention a resolution was adopted amending
Bylaw 6.01,a,3 which stated that the President of the geographical district in which the seminary was
located was not eligible to serve as a member of the seminary Board of Regents. The question was asked
now with regard to the district president who would serve as an elector as identified in Bylaw 6. 1 1,f.
The Commission concluded that since the bylaw states that the Board of Regents is one of the electors,
"(the district president not voting with the board)" and then continues, "the president of the synodical
district or his official representative with a distinct vote," that the district president referred to in both
instances is that district president selected by the Council of Presidents to serve as a member of the
seminary Board of Regents. It is not the president of the geographical district in which the seminary is
located.
4. Adjournment : Having concluded its business the telephone conference was adjourned with the
reminder that unfinished business of the Commission would include the revision of the Handbook.

Minutes of the Commission on Constitutional Matters
September 19 and September 23, 1992Telephone Conference
5. The Commission met by telephone conference to review constitutional and bylaw changes for the 1992
Handbook. Copies which included proposed changes had been forwarded by the Secretary to each of the
members. In introducing the proposed changes, the Secretary noted that changes had been made to
exclude gender specific references wherever appropriate. Furthermore, throughout the Handbook when
reference was made to the Board of Directors, clarification was provided to indicate when the Board of
Directors of The Lutheran Church-Missouri Synod, Inc. was meant and when the reference was to the
Board of Directors of other corporate entities. Other changes involved the inclusion of "universities" with
colleges and seminaries, the use of the terms "ordained and commissioned ministers" wherever
appropriate, rather than listing all those included in the category of commissioned ministers, and
references to the "Vice-President-Finance-Treasurer wherever the word "Treasurer" occurred.
In the discussion which took place over a period of approximately four hours each of the changes
resulting from the procedures identified above as well as each of the constitutional and bylaw revisions
approved was carefully reviewed.
6. In the process of reviewing the entire Handbook with its changes, the Commission called attention to the
