geographical boundaries established by the Synod." The latter part of the paragraph
can then be omitted.
Article VIII

-State: “. . . in accordance with the provisions determined by the Constitution and
Bylaws of The Lutheran Church–Missouri Synod." The last sentence can then
be omitted.

Article IX -Bylaws. Most states require such a paragraph. It could state: "The corporation shall
provide for bylaws as required by The Lutheran Church-Missouri Synod."
Article X

- Dissolution. A model paragraph is available from the CCM,

Article XI -Amendments. Depending upon state law, some such paragraph ought to be added as:
"Amendments to the Articles of Incorporation may be made at a regularly called
meeting of this corporation in accordance with state statutes and the requirements of
The Lutheran Church-Missouri Synod."
An indication is to be given that the Commission is still awaiting a report on the District Bylaws.
288. LCEF Articles of Incorporation, Clarification (Ag. 1542, A): Phil Draheim had agreed that these
articles could be amended to state very clearly that the LCEF is subject to the LCMS Constitution. This
change had been approved by the Board of Directors of the LCEF, but Mr. Draheim is to be informed that
we are still waiting to hear what action the LCEF annual meeting has taken on this matter.
289. LCEF Membership (Ag. 1544): The CCM had also been concerned that the different classes of
membership in the LCEF and how these are determined, etc. should be incorporated in the governing
instruments. The Secretary was asked to write to Mr. Draheim, referring him to his letter of October 5 to
determine what action has been taken.
290. Meeting of District Chairmen of Constitution Committees (Ag. 1543): The Northwest District
Committee on Congregational Constitutions had suggested that there should be a Synod-wide meeting of
all such District chairmen. It was felt that this might be unrealistic. However, it was suggested that
perhaps there should be a few regional meetings of especially the District secretaries who carry the
primary responsibility for many of these matters. It was decided by common consent to hold this matter
on the agenda.
291. Secrecy of Delegate's Voting Record (Ag. 1553): Rev. Carl H. Rehwaldt of Hastings, Nebraska had
asked whether a delegate could be compelled to reveal how he had voted on various issues before the
convention. After considerable discussion it was decided to inform Pastor Rehwaldt that as far as the
Commission has been able to determine, there seems to be no clear answer in the present Constitution and
Bylaws to this question and that it might be helpful if an overture would be submitted to the synodical
convention to test the Synod's sentiment on this question. The Secretary was asked, however, to check
with Roberts Rules of Order first to see whether there might be additional information that could be
conveyed to Pastor Rehwaldt.
292. Procedural Questions, Adjudication (Ag. 1556): The Commission took note of a letter in which in
answer to a request from Chairman E.N. Schulte of the English District Commission on Adjudication
regarding proper procedures the Secretary had referred him to Chairman Elmer Theiss of the Commission
on Appeals. The request had to do with the fact that Atonement of Florissant had objected to being
declared outside the Synod on the basis of "offensive conduct," which, in the estimation of the
congregation, was a new charge.
