Articles of Incorporation: add asterisk after "Walter F. Wolbrecht" in Article I, d and add footnote:
"* The law requires that the agent of the corporation be listed by name in the Articles of
Incorporation and that this person be located at the synodical headquarters. The name of this
person may be changed by notifying the Secretary of State. The Board of Directors decided Oct.
1, 1971 that Herbert A. Mueller, the Secretary of the corporation, should be this named agent, and
the Secretary of State has been so notified."
(Revised as listed here after consultation with Legal Counsel Phil Draheim on Oct. 19, 1971. The
Commission had decided that in line with the decision of the Board of Directors the name of
Herbert A. Mueller should be substituted for that of Walter F. Wolbrecht and that an explanatory
paragraph should be placed at the end of the Articles. However, Legal Counsel pointed out that
the Wolbrecht name needed to remain in the document proper and that a footnote should be
placed at that point calling attention to the action of the Board of Directors and to the proper
procedures of notifying the Secretary of State regarding the change.)
Constitution: the insertion of the definite article "the" before "Synod" in 82 instances.
1.59: change first words to read: "The names and addresses of all voting and advisory delegates and
representatives and their alternates shall be forwarded . . . . . "
1.63 title: Rights of Advisory Delegates and Representatives
1.63 a: Advisory delegates and representatives to the convention . . ."
1.63 c: The Commission ruled that Res. 4-41 gives the complete new bylaw and that therefore para. c
should be dropped from the Handbook.
2.03 & 2.05: new listing of boards and commissions as prepared by Mueller. However, it was decided to
eliminate the footnote concerning the Commission on Mission and Ministry in the Church: "Final report
to be submitted prior to 1973 convention," since there was a difference of opinion among the Commission
members as to the meaning of Resolution 5-22. It was suggested that this question be called to the
attention of Dr. Scherer, the chairman of the floor committee which drafted the resolution.
2.09ff: new sequence approved: 2.09 Induction, 2.10 Interim Authority, 2.11 General Rules (including
present 2.09 as paragraph h), 2.12 Tenure and Termination, 2.13 Prohibition of Conflict of
Interest, 2.14 Accountability, 2.15 Holding More than One Office.
2.38: insert comma after "election" in last full line for clarification.
2.39 1: previously adopted by the CCM, but reword it now to read:
"1. carry out responsibilities with reference to the nomination and election of the President and
First Vice President, as detailed in the bylaws (2.127 and 2.129)."
2.75 Approve addition of footnote: "See 2.39 b."
2.81 and elsewhere: Change "Executive Director" to "Administrative Officer (of the Board of Directors)."
2.81x: retain reference to the Administrative Officer.
