1. To unify in a corporate body the congregations, pastors, and teachers who are members of The
Lutheran Church-Missouri Synod situated or residing within the geographical bounds of the MidSouth District, and
2. To carry out within the geographical bounds of the Mid-South District the objects of The
Lutheran Church-Missouri Synod as stated in the Articles of Incorporation of said Synod."
It was resolved to forward this for incorporation, with the understanding that the objects of Synod would
not be listed specifically unless state law would require it. It was also resolved that this statement and this
approach should be used generally in the Articles of Incorporation of all Districts, so that it will not be
necessary for Districts to change their articles of incorporation in case the Synod should change the
wording of its objects, and also so that it would be clear even in a court of law that the District is an arm
of the Synod in carrying out the objects of Synod in its area.
358. Mid-South Formative Plan: The Commission also approved the "formative plan" of the Mid-South
District with the following exceptions: in lines 4 and 5 "where they apply" should be eliminated; the
conflict between line 356 and line 394 (appoint or elect) must be resolved; lines 435-437 need to be
reworked since the Detroit convention ruled that the synodical convention delegates are elected by the
circuits and not by the Districts.
359. Northern Nebraska Articles of Incorporation Changes: The following suggested changes were
approved by the Commission:
1. Change the first part of Article II to read: "The object of this association shall be to unify in a
corporate body the congregations, pastors, and teachers who are members of The Lutheran
Church-Missouri Synod situated or residing within the geographical bounds of the Northern
Nebraska District." (On the following day, however, the Commission took the action reported above
in 357). 2. It was suggested that the second part of Article II ("to receive, acquire...") be omitted
entirely, if possible; or if retention is necessary, that it be made a separate article. 3. Article III to
read: "The power of said corporation shall be lodged with the accredited pastoral and lay delegates of
the congregations of The Lutheran Church Missouri Synod which are situated within the
geographical boundaries of the Northern Nebraska District. 4. Strike Article IV. 5. In Article V,
should it be "Secretary" instead of "Treasurer" under Nebraska law? 6. Article VI could be reworded
to read: "The officers of this corporation shall be a President, three Vice-Presidents, a Secretary, a
Treasurer, and a Financial Secretary. The Board of Directors shall consist of the above named
officers, the chairmen of the Mission Board, Board for Parish Education, Stewardship Board, Church
Extension Board, one teacher, and three laymen who are not members of other boards."
7. Eliminate the present second paragraph of Article VI.
8. In Article VII change to four years.
9. Place second paragraph of Article VII into bylaws.
10. Place Article VIII into bylaws.
11. Drop Article IX unless required by Nebraska law.
12. Article X: eliminate seminaries and colleges.
13. Change Article XII to read: " . . .Nebraska, or with the constitution or bylaws of The Lutheran
Church-Missouri Synod." Omit the last half of the .... paragraph ("and a majority ") unless Nebraska law requires it.
14. Article XIII superfluous, unless required by Nebraska law.
360. Northern Nebraska Bylaws: The Secretary will write for five copies.
