MINUTES
COMMISSION ON CONSTITUTIONAL MATTERS
Actions Taken without a Meeting (Unanimous Written Approval)
June 22, 2025
124. Actions Taken Without a Meeting
The following actions were taken by unanimous written approval of the commission members, initiated by
Chairman Peters on June 16 and completed on June 22, 2025.
125. Missouri District Bylaw Revision, Proposed (25-3059A)
By an email of May 28, the Missouri (MO) District office forwarded, in response to the commission’s Op.
25-3059, further revisions of two of the four resolutions prepared for presentation to the district’s upcoming
convention.
These further revisions are found to have applied (in Res. 4-03A) the commission’s suggestions in MO
Bylaws III B 1, III D 16, VIII A 4, VIII C 2 a, and VIII C 2 f 5. The commission trusts that the review
suggested with regard to Bylaw IX B 2 has been conducted satisfactorily or is underway.
With regard to Bylaw III D, the subject of Res. 4-02A, the commission finds changes to subparagraphs 1
and 16 (as originally numbered; now 14) to have resolved its principal concerns regarding the board’s role
relative to the president and other executive staff under the bylaws as proposed. It reiterates its caution
against movement further in a “policy-style governance” direction, as explained in Op. 20-2934, and that
“the board needs to be engaged in the actual ‘general management and supervision of the district’s business
and legal affairs,’ with which it is vested, and in that spirit ‘shall adopt policies and require procedures
which assure that said management and supervision is effected’ (Bylaw 4.5.1 [b])” (Op. 25-3059).
These documents are approved for presentation to the district convention for adoption. The district and its
secretary and office are thanked for submission of these documents for review, and reminded to forward,
for the commission’s files, a clean copy of the district’s bylaws as ultimately adopted.
126. Michigan District Bylaw Amendment, Proposed (25-3064)
By an email of May 16, the Michigan (MI) District office forwarded a district convention resolution (1-03)
proposing amendment of MI Bylaw 5.6c to require regional assemblies to be provided with information on
nominees one week prior. This amendment is approved, as in harmony with the Constitution, bylaws, and
resolutions of the Synod, for presentation to the district convention and for adoption. The district and its
secretary and office are thanked for submission of these documents for review, and reminded to forward,
for the commission’s files, a clean copy of the district’s bylaws as ultimately adopted.
