Bylaw 2.7.4: What does it mean that the board functions as the “executive administrative body of
the district between conventions” and that if its such actions are challenged they are “subject to
ratification by the convention”?

•

Bylaw 2.7.4.2: The outline of the Board Policy Manual suggests a Policy Governance approach,
with regard to which the commission has cautioned several districts, including North Dakota (Op.
17-2843).

•

Bylaws 3.1.1–2: 2023 Res. 10-02 relocated and modified material dealing with non-congregation,
non-school calls to other sections and reworded certain aspects of Synod Bylaws 2.5.1–3.

•

Bylaw 8.1.4: The language here overstates the requirement of Bylaw 3.9.2.2.3 (a) that if the district
(board or perhaps a committee charged by a prior convention) intends to change its bylaws, these
must be prior approved, and seems to diminish the convention’s ability to adopt bylaws (and not
simply “floor amendments” to other proposals) subject to subsequent approval by the commission.
Rewording should be considered.

The district and its secretary are thanked for submission of these documents for review.
103. Mid-South District Bylaws, Proposed Amendment (25-3058)
By an email of March 11, the Mid-South (MDS) District Secretary forwarded for the commission’s review
a proposed amendment, to add the following district bylaw regarding the district president, mirroring the
language of Synod Bylaw 3.3.1: “3.2.1.3: He shall not be in charge of a congregation or hold a chair at any
educational institution but may be called to a congregation in an assisting capacity, provided such services
do not interfere with his official duties as President.”
The commission did not review the entirety of the district’s bylaws but finds the proposal consistent with
the Constitution, Bylaws, and resolutions of the Synod and approves it for presentation to the district
convention for adoption. The district thanked for this review submission and is asked to transmit a clean
copy of its bylaws as finally adopted.
104. Missouri District Bylaw Revision, Proposed (25-3059)
By an email of March 14, the Missouri (MO) District Secretary forwarded the district’s bylaw change
proposal, to be presented in four resolutions to the upcoming district convention. In its review, the
commission notes the following:
•

MO Bylaw III B 1, as proposed: it may, for the avoidance of all doubt, be better to say “first meeting
of the district triennium” to distinguish from the Synod triennium.

•

Bylaw III D: The change to item 1 seems to reduce the board’s authority to adjust the “mission,
vision, and strategies” of the district and is ambiguous with regard to the authority it has over the
district’s strategic plan. Is this the province of the board or of the district president, with board
suggestions? This, it seems, should be clarified. Changes to items 7, 14, and 16 (as presently
numbered) and removal of items 8–9 could be interpreted as moving more in the direction of
“policy-style governance” cautioned against in Op. 20-2934. While the commission does not find
these changes to conflict essentially with the Constitution or Bylaws of the Synod, the board needs
to be engaged in the actual “general management and supervision of the district’s business and
legal affairs,” with which it is vested, and in that spirit “shall adopt policies and require procedures
which assure that said management and supervision is effected” (Bylaw 4.5.1 [b]).

•

Bylaw III D 16 (as presently numbered): The change from “manage” to “oversee” is a change away
from the text of Synod Bylaw 4.5.1 (b), in which the board has “general management and
supervision” of the district’s business affairs. Within the board’s sphere of business, property, and
legal matters, it does not oversee (Bylaw 1.2.1 [p]) but supervises and manages (Bylaw 1.2.1 [u]).
