Policy 1.7.8: The phrase “trust entity (manager)” might better be stated with a second slash than
with a parenthetical; the sentence also needs to end “the Board.” Under (c), it would be helpful to
provide a rationale (general oversight?) for this authority of the board.

•

Policy section 1.7.10: Post–2023 Res. 7-04B, seminaries may well be distinguished from colleges
and universities, as bylaws have continued to diverge. This section requires updating, including but
not limited to the refence to Bylaw 3.10.6.4 (h–i) in Policy 1.7.10.2 and to Bylaw 3.10.6.4 (e)(1) in
1.7.10.5. Development of policies and procedures may be necessary for a number of the areas in
which a board of regents interfaces with the Board of Directors (see, e.g., Bylaw 3.10.6.1 [g, l, m,
o, and r]; Bylaws 3.10.6.4–3.10.6.5.2 and 3.10.6.6).

•

Policy 1.9.1.2: Bylaw 3.4.3.2 mentions concurrence but not consultation; the inclusion may lend
confusion to the roles of the Board of Directors and that of the mission boards.

•

Policy 2.2: Bylaw 3.1.1 should be cited at the head of the second parenthetical.

•

Policy 2.6.1 should be updated for the current emphasis resolution (it was noted the board addressed
this in its most recent meeting).

•

Policy 3.4.1.1 may better specify that the meetings are “at least quarterly” (Bylaw 1.5.3).

•

Policy 3.6.1.3, second sentence: should be “names along with the names of the physically
attending…”

•

Policy 3.9.1.3: noted was a single reference in (d) to BoardEffect, which is used for distribution of
the whole docket.

•

Policy 3.9.1.5 should cross-reference Policy 3.11.

•

Policy 3.10 (e): It was questioned how or by whom this is determined; also Policy 3.11.1.4 (e).

•

Policy 3.12.2.2 may warrant a cross-reference to Policy 3.13.

•

Policy 3.12.4 (c) may well continue as does 3.12.3 (g).

•

Policy 3.13.1.2 and other locations should likely account for vacancy appointments to the board.

•

Policy 3.13.2.4’s reference to Bylaw 1.5.3 should be to 1.5.3.2.

•

Policy 3.13.4.1 (e)’s reference to Bylaw 3.3.4.1 (6) should be to (5).

•

Policy 3.16.1.2 could include the board’s executive staff under changes to Bylaw 3.1.4.1 (b).

•

Policy 4.1.1.1’s reference to Policy 4.14.1 should be to Policy 4.1.2. It could be clearer that nonelectronic meetings are permitted.

•

Policy 4.1.2.2 (and similar) may well specify that participation should be “in real time.”

•

Policy 4.1.2.5 should indicate that these are “along with those in person.”

•

Policy 4.5.1: the wording and timeline may deserve review; the reference in Policy 4.5.1.1 to Bylaw
3.3.4.1 (6) should be to (5).

•

Policy 4.5.1.3: is specification of a process necessary, perhaps by generalization of the foregoing?

•

Policy 4.5.2.1’s table needs to be updated for the results of the 2023 convention and references
need checked. The reference to Concordia Plan Services should also be to Concordia Plans; an
update is also needed to remove reference to CUS appointments in Policy 4.5.2.5 and 4.5.3.4.

•

Policy 4.5.2.7 should likely read “additional nominations.”
