(b) should also be at least noted by the board and its executive committee and might well be
reiterated in this section of the district bylaws. (The following addition was offered by the district
before minutes were finalized and is approved: “In addition, the Executive Committee shall have
authority to act in times of emergency between plenary meetings of the Board to act on delegated
assignments, and to act as specified elsewhere in the Synod Bylaws. The Executive Committee
may not perform acts specifically required by statute or by legislation or the Constitution, Bylaws,
and resolutions of the Synod to be performed by the Board or the District in Convention, nor may
they overturn actions of the Board or the District in Convention. All Executive Committee actions
shall be reported to plenary meetings of the Board.”)

RM Bylaw 3.04 A: The replacement of doubtful with contested (or the addition of contested to
doubtful) is inconsistent with Bylaw 1.5.1.2 (b) and must be reversed.
Provided the above are addressed as indicated, the commission finds the bylaw proposal as here presented
to be in harmony with the Constitution, Bylaws, and resolutions of the Synod and approves it for
presentation to the district convention. The district and its board are thanked for this submission and
reminded to file with the Office of the Secretary, for the commission’s records, a clean copy of the Bylaws
as finally adopted by the convention, as well as a clean copy of the district’s Articles as adopted and filed
with the State of Colorado, as previously approved by the commission (Op. 19-2902).
131. Kansas District Bylaws, Proposed (22-2982)
The President of the Kansas (KS) District, by an email of February 4, forwarded additional proposed
changes to the fourth article of his district’s bylaws, dealing with nominations and elections, along with
general revision of the bylaws having already been approved in Op. 20-2945A. The commission notes the
following:
•
•
•
KS Bylaw III 1 a: prior to “shall hold membership in” the words should be inserted “upon
assumption of office.” At the conclusion of the same paragraph, “professional workers” should be
replaced with “individual members of the Synod.”
KS Bylaw III 3 f: The provision that “more than one half term shall be regard as a full term” remains
in force (Bylaw 3.2.4) and is inserted above for elected positions. It should not be removed here,
however, if any appointive offices are term-limited.
KS Bylaw V 1 a and V 3: It will be helpful to clarify as follows: “Congregations…not contributing
a lay voter may send an advisory lay delegate…”
With the above change addressed, the commission finds these additional changes to be in harmony with the
Constitution, Bylaws, and resolutions of the Synod and approves them for presentation to the district
convention. The district and its president are thanked for this submission and reminded to file with the
Office of the Secretary, for the commission’s records, a clean copy of the Bylaws as finally adopted by the
convention.
The commission notes its uncertainty whether articles of incorporation adopted by the district, compliant
with Bylaw 1.5.3.6 and 2016 Res. 9-02A, have been filed with the State of Kansas. The district is advised
to review this filing and to submit a clean copy of its articles, for the commission’s files, as filed with the
state (these were reviewed and approved in Op. 17-2844B, but the commission is uncertain of their
subsequent adoption and filing). The commission also notes and reiterates its request for submission of the
district’s operations manual, apparently a district policy manual, as well as the noted convention manual,
for the commission’s review under Bylaw 3.9.2.2.3.
132. Missouri District Bylaws, Proposed (22-2991)
By an email of April 1, the Secretary of the Missouri (MO) District forwarded his district’s bylaw revision
proposal for review. The commission notes the following:
