# LCMS Commission on Constitutional Matters Minutes_St. Louis Missouri_August 9 10 2024_S17 # Machine transcription, uncorrected — CHI Digital Archive (demonstration) • Bylaw 3.3.6, final sentence, appears to bear vestigial underlining, as does Bylaw 5.3, unless these are intentionally underlined. • Bylaw 4.3.6: the procedure for determining successive ballots in ranking should probably be clarified as being the same as in KS Bylaw 4.3.5. • Bylaw 5.1.2: the commission notes that convention delegates must be specified 150 days prior to the district convention and inquires as to how this aligns with Synod Bylaw 4.2.2 (a), which allows delegate credentials to be presented at the convention and allows delegates to be accredited (to vote) on this basis. • Bylaw 5.2.2.1: Under Const. Art. VII, congregations cannot be compelled to bear such expenses. • Bylaw 5.4: It could be clearer that the district board of directors determines these circuit combinations. Should the district desire to address the above, the commission requests a subsequent draft for review. The commission renews its question, raised in Op. 22-2982, as to whether articles of incorporation adopted by the district, compliant with Bylaw 1.5.3.6 and 2016 Res. 9-02A, have been filed with the State of Kansas. Proposed amendments, with regard to Articles 2 and 4, satisfying these requirements were approved by the commission in Op. 17-2844B and is presumed to have been acted upon by the 2018 district convention. Nonetheless, these do not appear to have been filed with the State of Kansas. The district is advised to review this filing and to submit a clean copy of its articles, for the commission’s files, as filed with the state. The commission also notes recent receipt of the district’s operations manual, apparently a district policy and convention manual, which the commission will review separately under Bylaw 3.9.2.2.3. As to the amendments approved in this opinion, the district is thanked for engaging this review and asked, upon their ultimate adoption by the convention, to forward a clean copy of the bylaws as amended for the commission’s files. 47. Review of Higher Education Governance Documents (23-3023) The commission, looking to resume its review with the Bylaws of Concordia University Wisconsin, determined that it would attempt to accelerate the very extensive and intensive process by assembling written comment by commission members to be reviewed and finalized in conclusory internet conferences or a final in-person meeting. The Secretary was asked to facilitate this approach. 48. Plan for Next Meeting The commission has scheduled an in-person meeting in St. Louis on December 6–7 and an interim Zoom meeting on September 23, 6:30–8:30PM Central. 49. Meeting Review and Adjournment The agenda being concluded, the commission adjourned. John W. Sias, Secretary CCM Minutes – August 9–10, 2024 – Page 40
