# LCMS Commission on Constitutional Matters Minutes_St. Louis Missouri_November 10 11 2017_S5 # Machine transcription, uncorrected — CHI Digital Archive (demonstration) • On p. 97, the remainder of Bylaw 2.10.4 must be clearly cited as absolutely obligatory in performing rites of ordination/commissioning and installation. • On p. 98, under B 4 (and generally), “associate” may be intended rather than “assistant.” • On p. 104, the treatment (II A) of referral panels is outdated and should be removed in its entirety. • On pp. 137–8, “The Process for Cross-Circuit and Cross-District Church Planting” needs to reference and be reconciled with Bylaw 4.1.6.2. • On p. 157, “during a sabbatical granted by the calling” needs to be completed with, presumably, the word “body.” • On p. 211, Bylaw 5.3.2 [a] should be footnoted to clarify that such additional representation does not have a vote in matters commended to the circuit by Synod bylaws. • Also on p. 211, the quotation of Bylaw 5.3.3 is out of date and should be corrected (see that bylaw and Bylaw 3.1.2. • Also on p. 211, it is the visitation circuits that meet in time to submit mission emphases to their district conventions, which is the designated route for their submission. • On p. 230, “on behalf of the Synod” would be preferable to “as an ‘officer of Synod’” • On p. 231f., the commission notes that it is adding “Calls vs. Contracts” to its agenda as Agenda No. 17-2865 for a more thorough review. • In general, the document needs to be checked for remaining instances of “circuit counselor.” The commission thanks the Clergy Call and Roster Committee of the Council of Presidents for submitting the Circuit Visitor’s Manual for review. 100. LCMS Foundation Bylaw Change (17-2861) The Foundation proposes a change to its bylaws as follows (an insertion indicated by underlining): The Board of Trustees of the Foundation shall be composed of the President of The Lutheran Church—Missouri Synod (the “Synod”) or his designated representative, the Chairman of the Board for National Mission, or his/her representative from that Board, two Trustees (one ordained minister and one layperson) to be elected by the Synod in convention, and at least seven Trustees elected by the Members. The commission notes that the number of member-appointed trustees, allowed by Bylaw 3.6.5.2.1 [3] to be “at least seven,” is presently set by this passage of the Foundation bylaws at seven. The proposed change to the Foundation bylaws would allow a potentially unbounded number of member-appointed trustees, apart from LCMS Bylaw 3.6.1.3 [a], which reads: “A minimum of one-third of the voting members of every governing board shall be elected by the Synod in convention as described in these Bylaws.” As there are presently four convention-elected trustees, there could be a maximum of eight additional trustees appointed by the board (apart from the limit of seven presently existing in the Foundation bylaws). In order to clarify this ratio in the bylaws of the Foundation, to provide a scalable but definite maximum number of member-appointed trustees, and to accord with LCMS Bylaw usage of elect and appoint, the commission recommends the Foundation change its bylaws thus: The Board of Trustees of the Foundation shall be composed of the President of The Lutheran Church—Missouri Synod (the “Synod”) or his designated representative, the Chairman of the Board for National Mission, or his/her representative from that Board, two Trustees (one ordained minister and one layperson as specified in the Bylaws of the Synod) to be elected by the Synod in convention, and at least seven Trustees elected appointed by the Members.
