The Standing Committee for Pastoral Ministry will no longer exist as an entity distinct from the board. The functions of that committee will be subsumed under the Committee for Pastoral Education. 2. With regard to the two laypersons that will be elected in synod- ical convention, one of these shail be elected in 1998 to a three- year term. This provides an alternating pattern of election for these two positions. 3. The staff executive assigned to the Committee for Pastoral Ed- ucation shall have significant parish experience. 4. To ensure an orderly transition to this new structure, current staff shall be retained. Resolved, The Board for Higher Education respectfully requests the convention to 1, adopt the proposed Bylaws as presented above; 2. adopt the proposed Implementation Plan as presented above: 3. authorize the Secretary of Synod to bring other parts of the syn- odical Handbook into conformity with these changes, as needed. John W. Meyer, Chairman James C. Holste, Secretary Board for Higher Education Concordia University System 8-11 To Revise Bylaws re BHE/CUS Board of Directors Members Rationale The Bylaws governing the Board for Higher Education/Con- cordia University System Board of Directors state that rostered members, three ordained and two commissioned ministers, are to be elected by the convention. Six lay members with financial or academic expertise are to be elected by the members of the CUS corporation. In addition, they state that no more than one director can be from the same District of the LCMS, a limitation which ap- plies elsewhere only to the Board of Directors of the Synod and no programmatic board. Beyond the fact that consistency would be desirable, the need for searching out and identifying persons with different backgrounds and skills relating to the specific work of this board, which deals with one-third of the undesignated funds remit- ted to the Synod is of paramount importance. Resolved, That in the synodical election of rostered members of the Synod, the limit of the election of no more than one member from the same District be retained; and be it further Resolved, That in order to meet the need for specific back- grounds and skills, no more than one member of the same District may be elected by the members of the CUS corporation; and be it further Resolved, That the limitation of no more than one member from a District apply to the individual categories of rostered and lay but not to the entire Board for Higher Education; and be it finally Resolved, That the necessary Bylaw revision be made in accord with Bylaw 15.01 2. Board of Directors The Lutheran Church—Missouri Synod 8-12 To Revise Bylaw re CPH Board of Directors Membership Rationale The following changes are recommended to the synodical con- vention by the Board of Directors of Concordia Publishing House to provide adequately for the functioning of the CPH board. Rather than specify four board members with business management expe- rience as currently expressed in the Bylaws, the proposed changes call for a balance on the board of the diverse disciplines required for the operation of a publishing house, including product devel- opment and business management. These criteria apply to all board members. Also the reference to the chairman of the Board for Parish Services is omitted because that board no longer exists. Resolved, That Bylaw 3.290 a be amended to read: 2. Concordia Publishing House 3.290 The Corporation a. Concordia Publishing House shall be maintained and con- trolled by the Synod as a corporate entity organized under the laws of the State of Missouri and shall be operated by a board of directors elected by the convention of the Synod: one ordained minister, one commissioned minister, and seven laypersons. Board composition needs to reflect commitment to the mission of the church. Directors should have training and experience in diverse disciplines necessary for the operation of a publishing house, including product development and business manage- ment. The directors shall serve a maximum of two six-year terms. The President of the Synod or an officer designated by him from the clergy roster will also serve as a voting member. Board of Directors Concordia Publishing House 8-13 To Select Nominess for Board for Black Ministry WHEREAS, The “Blue Ribbon’’ Committee is recommending to the 1998 convention of the Synod that one-third of all boards, in- cluding the Board for Black Ministry Services be elected by the convention; and WHEREAS, The “Blue Ribbon’’ Committee is recommending a Bylaw revision in which each board or commission can inform the nominating committee, not only of people it suggests for nomina- tion, but also of the desirable criteria for nomination; and WHEREAS, Black representation is minimum at the convention of Synod and maximum at the convocation; therefore be it Resolved, That the 1997 Black Ministry Family Convocation nominate nine people for presentation to the Nominations Com- mittee of Synod for the election of three members to the Board for Black Ministry Services by the 1998 convention; and be it further Resolved, That the term of office be three years, with a maxi- mum of nine years; and be it further Resolved, That the 1998 convocation elect 18 people for pre- sentation to the President of Synod for appointment to the Board for Black Ministry Services; and be it finally Resolved, That the 1997 convocation declare selection by the convocation as the criteria for nominations for election to the Board for Black Ministry Services, and that the nine names include three pastors, three laypersons, and three teachers. Board for Black Ministry Services; Black Ministry Convocation 8-14 To Adopt Modifications to Blue Ribbon Committee Recommendations Preamble The Board of Directors has carefully reviewed the final report of the President’s Blue Ribbon Committee on Structure. In that process it has come to appreciate the excellent work done by the committee members in dealing with the issues of structure which required clarification and direction. While largely supporting the recommendations of the committee, the Board of Directors has a
